Senior Specialist – Corporate Governance

Core Responsibilities

• Develop and implement corporate governance framework for CBUAE to ensure accountability and responsibility across the organisation.
• Ensure compliance with corporate governance principles and organisational policies, procedures, and quality standards.
• Ensure comprehensive knowledge of relevant regulation, corporate law, governance codes, and governance structures.
• Provide strategic guidance and assistance to CBUAE departments on governance matters and best practices.
• Conduct research on emerging trends, regulatory developments, and global best practices in corporate governance to ensure continuous alignment.
• Prepare, review, and enhance governance documentation such as manuals, charters, and policies to ensure clarity and consistency.
• Ensure the systems, practices and procedures operating within the Board, Board Sub-Committees, and Executive Committees reflect a culture of continuous improvement and external benchmarking.
• Provide support across the Board, Board Sub-Committees, and Executive Committees on their governance and effective operation.
• Ensure comprehensive understanding of ethical principles and integrity standards, and ability to promote a culture of ethical behaviour throughout the organisation.
• Collect, validate, and interpret corporate governance related data and generate insight.
• Maintain sufficient knowledge of corporate reporting requirements and disclosure obligations.
• Perform any other duties outside the scope as and when required.

Self-Management Responsibilities

• Set clear performance goals at the start of the year in consultation with the reporting manager, ensuring timely achievement and alignment with departmental objectives.
• Identify personal training and development requirements, agrees on them with the reporting manager, and pursue relevant learning opportunities.
• Maintain the highest levels of proficiency across all required competencies and skills to perform the role.
• Keep abreast of professional developments, emerging techniques and topics through continued education and professional growth.

Qualifications and Experience

• Bachelor's Degree in a relevant field such as, Business Administration / Management / Law/ Accounting or a related field or relevant subject.
• Any relevant professional certifications or memberships.
• Minimum of 4+ years’ experience in a relevant field.
• Prior experience in the role of board secretary in large organisations including Risk, Corporate Governance, Legal Advisory, would be an advantage.
