Role overview

The Senior Investment Associate originates, structures, executes, and places transactions under the firm's Arranging Deals in Investments permission, following FSRA requirements.

Mandates are managed end to end, from screening and due diligence through placement with Professional Clients and closing.

Mandates may cover project finance, private credit, private equity, structured products, and digital securities, including use of a firm-managed Collective Investment Fund where appropriate.

Origination and screening

  • Develop mandate pipelines with issuers, sponsors, developers, corporates, and asset managers across the UAE, GCC, and selected growth markets.
  • Screen investor demand, structural feasibility, regulatory perimeter, and reputational risk; prepare screening memoranda for internal approval.
  • Recommend routes to market, including private placement, club deal, notes programme, Digital Security, or a suitable fund vehicle.

Structuring and due diligence

  • Build and review project finance, equity valuation, credit, cash-flow, distribution waterfall, return, and sensitivity models.
  • Structure instrument terms and prepare term sheets covering seniority, security, covenants, coupon or distribution policy, tenor, redemption, and transfer restrictions.
  • Lead due diligence, coordinate advisers, and maintain data-room reviews, due diligence trackers, and red-flag reports.
  • For tokenized transactions, coordinate issuance platforms, custodians, and KYC or wallet providers to align Digital Securities with legal instrument terms.

Investor placement and execution

  • Prepare teasers, information memoranda, investor presentations, and Q&A materials in line with FSRA COBS requirements.
  • Engage Professional Clients, manage outreach, roadshows, and data-room access, and coordinate onboarding with Compliance.
  • Manage indications of interest, book-building, allocations, transaction workstreams, documents, conditions precedent, signing, closing, and settlement.
  • Coordinate legal counsel, trustees, paying agents, custodians, fund administrators, and auditors; support post-closing investor reporting where applicable.

Qualifications and experience

  • Bachelor's or Master's degree in Finance, Economics, Accounting, Engineering, or a related quantitative field.
  • At least 4 years in investment banking, private credit, private equity, or capital advisory.
  • Experience in ADGM or DIFC-regulated firms or GCC-focused institutions is preferred.
  • Demonstrated closed-transaction track record with end-to-end involvement from origination through closing.
  • Advanced first-principles financial modeling, including three-statement, project finance, credit, and distribution waterfall models.
