Role overview

Corporate Counsel supports corporate legal matters across the international group and is based in Dubai.

The role covers DIFC/UAE law, People and employment matters, corporate governance, commercial agreements, and cross-border legal matters.

The counsel works with People, Finance, Operations, and other functions to turn legal requirements into practical advice, policies, and business solutions.

Legal, employment, and governance responsibilities

  • Advise on DIFC and relevant UAE corporate and employment law for Dubai operations, DIFC entities, group structure, and global workforce; monitor legal developments and coordinate local counsel.
  • Advise People/HR on hiring, employment and contractor models, compensation, performance, investigations, terminations, cross-border workforce issues, policies, agreements, employee relations, and disputes.
  • Support corporate governance and entity management across jurisdictions, including Board and shareholder matters, corporate resolutions, statutory requirements, and records.
  • Advise on group structuring, intercompany arrangements, reorganizations, international expansion, transactions, investments, and M&A as required.

Commercial contracts and legal operations

  • Draft, review, and negotiate vendor, customer, partner, and other commercial agreements.
  • Advise on contractual risk, liability, indemnities, confidentiality, intellectual property, data protection, and termination.
  • Develop templates and contracting standards and improve contracting and approval processes with Procurement and business teams.
  • Draft and review corporate policies, identify and assess material legal risks for escalation, and provide practical guidance and training to business teams.

Qualifications and experience

  • 5+ years of relevant legal experience.
  • Strong practical knowledge of DIFC law and regulations, especially corporate and employment law, and understanding of the wider UAE legal environment.
  • Experience advising People/HR, businesses with multiple legal entities and jurisdictions, and international or cross-border workforces.
  • Strong corporate and commercial legal experience, including contract drafting and negotiation; working knowledge of data protection and privacy law, particularly DIFC requirements.
  • University degree in Law (LLB, JD, or equivalent) and a professional legal qualification or admission to practise in at least one recognized jurisdiction.

Nice to have

  • Experience working as counsel at a DeFi/Web3 company is a nice-to-have.
