The Governance & Compliance Manager will build and implement governance and compliance infrastructure across a Saudi holding company and its subsidiaries.

Governance and compliance accountabilities
- Develop and enhance the corporate governance framework, policies, regulations, manuals, and procedures.
- Administer the Delegation of Authority framework and track Board and executive decisions through follow-up and closure.
- Support the Board and committees; maintain regulatory, license, permit, and renewal registers.
- Monitor compliance issues, violations, corrective actions, and subsidiary adherence to group requirements.
- Maintain risk registers and coordinate monitoring and reporting; administer conflict-of-interest and related-party transaction frameworks.
- Coordinate legal matters with external advisers and support internal controls and the initial establishment of Internal Audit.
- Prepare periodic governance, compliance, and risk reports for the CEO, Board, and relevant committees.
Knowledge, skills, and experience
- Bachelor’s degree in Law, Business Administration, Accounting, or a related field.
- Preferably 15 or more years of relevant professional experience.
- Good knowledge of the Saudi corporate and regulatory environment.
- Practical experience in several relevant areas, including governance, compliance, board governance, policies, risk management, and internal controls.
- Holding-company or diversified-group experience is preferred.
- Able to develop governance frameworks and policies and ensure practical implementation.
- Strong organizational, follow-up, communication, and senior-management reporting skills.
