Role Overview

We are hiring for one of our clients, seeking a Funds Attorney on a contractual basis to provide legal expertise for financial fund operations.

This role involves ensuring compliance with regulatory requirements, drafting and reviewing fund documentation, and advising on complex legal matters related to fund structures and transactions.

The position requires a deep understanding of financial regulations and fund management practices.

Key Responsibilities

  • Draft, review, and negotiate fund agreements, including limited partnership agreements, subscription documents, and side letters.
  • Advise on regulatory compliance matters, including investment fund regulations and securities laws.
  • Provide legal guidance on fund structuring, governance, and operational matters.
  • Assist in due diligence processes for fund investments and transactions.
  • Monitor and interpret changes in relevant laws and regulations affecting fund operations.

Required Skills & Qualifications

  • Juris Doctor (JD) degree from an accredited law school with active bar admission in at least one U.S. jurisdiction.
  • Minimum of 5 years of legal experience, with a focus on investment funds, private equity, or venture capital.
  • Strong drafting and negotiation skills with experience in fund agreements and related documentation.
  • In-depth knowledge of U.S. securities laws, investment company regulations, and fund governance practices.
  • Ability to work independently in a remote environment with minimal supervision.
