Corporate Counsel

Role purpose

Group-wide legal advisory

• Advise group leadership and business units on legal and commercial matters, material risks, business impacts, and recommended action.
• Support cross-border structuring, licensing, local regulatory requirements, sanctions, and trade compliance.
• Align legal standards, contract practices, and governance requirements across jurisdictions.

Energy, infrastructure, and projects

• Lead legal support for gas development, power generation, refinery expansion, and other infrastructure projects with project, engineering, procurement, and finance teams.
• Draft, review, and negotiate EPC, equipment supply, technology licence, consultancy, and operations and maintenance agreements.
• Assess scope interfaces, milestones, acceptance testing, performance warranties, delay damages, liability caps, indemnities, and termination rights.
• Structure and negotiate advance payment guarantees, performance bonds, parent company guarantees, and other contractual security.
• Support fuel supply, gas sales, power purchase, offtake, and tolling arrangements, including government-counterparty agreements.
• Manage project execution matters including variations, notices, payments, obligations, and potential claims.

Commercial contracts and transactions

• Draft, review, and negotiate customer, vendor, procurement, partnership, licensing, commodity purchase and sale, and other commercial agreements.
• Support logistics, storage, physical energy supply, vessel transactions, chartering, and maritime matters, using specialist counsel where needed.
• Advise on payment security, counterparty exposure, title and risk transfer, insurance, data protection, dispute resolution, and termination.
• Support real estate, telecommunications, and other portfolio businesses on significant transactions and commercial agreements.
• Maintain standard contract templates, playbooks, approval workflows, and contract-management practices.
• Lead or support acquisitions, disposals, joint ventures, strategic partnerships, restructurings, and investments; draft and negotiate transaction documents.
• Coordinate legal due diligence, identify exposures, recommend protections, and manage signing, conditions precedent, regulatory approvals, completion, and post-completion obligations.
• Work with finance teams, lenders, and counsel on financing agreements, security packages, guarantees, and lender requirements.

Required qualifications

• Law degree (LL.B., J.D., or equivalent) from a recognized institution.
• Admitted to practice and in good standing in a recognized jurisdiction relevant to group operations, with working knowledge of applicable legal frameworks.
• 7–10 years of post-qualification experience; experience split between a Magic Circle firm and an in-house team is ideal.
• Excellent written and spoken English.
• Proficiency with contract management tools and Microsoft Office.

Preferred qualifications

• Arabic fluency is strongly preferred; French is an advantage.
• A master’s degree (LL.M.) or additional corporate or commercial law qualification is preferred.
• Familiarity with GDPR and local equivalents is preferred.
• Membership in a bar association, the Association of Corporate Counsel, or a comparable professional body is preferred.
