Corporate Counsel

Job purpose

Group-wide legal and commercial support

• Advise leadership and business units on legal and commercial matters, risks, business impact, and recommended courses of action.
• Support cross-border structuring, licensing, local regulation, sanctions, and trade compliance; align legal standards and governance across jurisdictions.

Energy, infrastructure, and project delivery

• Lead legal support for gas development, power generation, refinery expansion, and other infrastructure projects with project, engineering, procurement, and finance teams.
• Draft and negotiate EPC, equipment supply, technology licence, consultancy, operations, and maintenance agreements; assess key commercial terms and contractual risks.
• Structure contractual security and support fuel supply, gas sales, power purchase, offtake, and tolling arrangements.
• Manage contract execution matters, including variations, notices, payments, obligations, and potential claims.

Commercial contracts, trading, and shipping

• Draft, review, and negotiate customer, vendor, procurement, partnership, licensing, commodity purchase and sale, and other commercial agreements.
• Support logistics, storage, physical energy supply-chain arrangements, vessel transactions, chartering, and maritime matters.
• Advise on payment security, counterparty exposure, title and risk transfer, insurance, data protection, disputes, and termination.
• Support real estate, telecommunications, and other portfolio businesses; maintain templates, playbooks, approval workflows, and contract-management practices.

Investments, M&A, joint ventures, and financing

• Lead or support acquisitions, disposals, joint ventures, strategic partnerships, restructurings, and other investments.
• Draft and negotiate term sheets, confidentiality agreements, sale and purchase agreements, shareholders’ agreements, and related documents.
• Coordinate due diligence, identify exposures, and translate findings into recommendations and contractual protections.
• Manage signing, conditions precedent, regulatory approvals, completion, and post-completion obligations; work with finance teams, lenders, and advisers on financing and security.

Qualifications and background

• Law degree (LL.B., J.D., or equivalent) from a recognized institution.
• Admitted to practice and in good standing in a recognized jurisdiction relevant to the Group’s operations, with working knowledge of applicable legal frameworks.
• Experience at a Magic Circle law firm and relevant in-house legal experience in Oil & Gas or Infrastructure, specifically within the UAE and Iraq.
• Excellent written and spoken English; French is an advantage.
• Proficiency with contract management tools and Microsoft Office.

Preferred qualifications

• A master’s degree (LL.M.) or additional qualification in corporate or commercial law is preferred.
• Familiarity with GDPR and local-equivalent data protection laws is preferred.
• Membership in a professional body such as a bar association or the Association of Corporate Counsel is preferred.
