Role Overview

Reporting to Head of Commercial & Strategy, the Commercial Contracts & Governance Manager serves as CTRD Arabia’s specialist authority on Saudi commercial contracting pathways, regulatory compliance

,

and contractual governance.

The role translates GX’s commercial strategy and pricing frameworks into robust, enforceable contractual structures that protect organisational advantage and ensure compliance with Saudi law and procurement processes.

The role ensures that opportunities progress through legally sound and commercially advantageous contracting routes from proposal through to contract execution.

Working closely with the Head of Commercial & Strategy, the Country Director and GX delivery teams, the role ensures that contractual obligations, commercial terms and performance frameworks are clearly defined, negotiated and documented.

The role also identifies wider KSA tender and procurement opportunities, for consideration by Head Commercial & Strategy.

The role ensures disciplined contract governance across the GX portfolio, maintaining auditable documentation, supporting structured change control, and ensuring that commercial agreements remain aligned with regulatory requirements and GX’s commercial objectives.

1. Saudi Contracting & Regulatory Navigation

  • Serve as GX’s subject-matter expert on Saudi commercial contracting frameworks, processes and regulatory requirements, with a deep understanding of Defence.

  • and navigate optimal contracting pathways to support GX programmes and proposals.
  • Expertly navigate KSA Government Tenders & Procurement Law, including through developed professional network.
  • Ensure all GX projects operate within Saudi commercial law, policy frameworks and regulatory standards.
  • Provide expert advice to leadership on contracting routes, regulatory constraints and risk exposure.

2. Contract Structuring & Negotiation

  • Lead the drafting and negotiation of technical contractual terms, ensuring agreements protect GX’s commercial position while remaining compliant and competitive.
  • Translate operational delivery requirements into clear, enforceable and measurable contractual obligations.
  • Structure payment schedules, milestones and deliverables to align contractual performance with financial resilience.
  • Support the Head of Commercial & Strategy in structuring complex or high-value opportunities.

3. Proposal Commercialisation & Contract Conversion

  • Support the transition of business development opportunities into executable contracts.
  • Deep understanding of the KSA tender and procurement mechanism to be able to assist in identifying and building commercial options for a leadership pursuit decision

  • Ensure that proposal commitments are accurately translated into legally robust contractual frameworks.
  • Work closely with delivery teams to ensure contractual requirements reflect operational realities.
  • Provide commercial contracting support during proposal development where required.

4. Contract Governance & Commercial Assurance

  • In support of Head Commercial & Strategy, maintain disciplined contractual governance across the GX portfolio.
  • Ensure contracts are documented, traceable, auditable and compliant with Group standards.
  • Establish and maintain clear contract management and documentation practices.
  • Support risk identification and mitigation through robust contractual structuring, in close coordination with Group Operations.

5. Change Control & Commercial Protection

  • Establish structured change control processes to ensure scope changes are properly governed.
  • Support variation management and contractual adjustments where delivery requirements evolve.
  • Protect GX commercial position by ensuring scope, deliverables and obligations remain clearly defined.
  • Support dispute avoidance through proactive contractual management.

6. Collaboration with Commercial & Finance Functions

  • Work in close partnership with the Head of Commercial & Strategy to ensure contractual structures support GX pricing frameworks, margin expectations and commercial strategy.
  • Support annual commercial and financial review processes.
  • Coordinate with the GX Senior Finance Manager to ensure contractual payment structures align with financial governance, invoicing processes and regulatory requirements.
  • Ensure contractual terms reflect GX financial controls and statutory compliance requirements.

Essential

Strong experience in commercial contracting, including drafting and negotiation of complex agreements.

Deep knowledge of Saudi commercial law, contracting

pathways, and procurement frameworks.

Experience

in the navigation and application of Government Tenders & Procurement Law.

Demonstrated ability to structure commercially robust and legally

compliant agreements.

Strong negotiation skills and ability to manage complex stakeholder discussions.

High attention to detail and ability to maintain disciplined contractual governance.

Familiarity with GCC commercial and regulatory environments.

Desirable

Professional qualifications in commercial management, procurement, contract management or law (e.g.

CIPS, LLB, contract management certification or equivalent professional experience).

Experience

working within defence, security, government or regulated sectors.

Experience

supporting large programme or portfolio environments.

English and Arabic language capability or experience operating in multicultural environments.
