Job Purpose

To lead and provide expert legal services and counsel on a range of legal issues to assist the Company in fulfilling and adhering to its operational, legal, and financial requirements.

Oversees preparation, review, implementation, and provision of advisory legal processes of the Company’s legal team.

GENERAL COUNSEL: Aid the Chief Executive Officer, senior management, and the board with the decision-making process to protect the legal interests of the COMPANY against material legal exposure to legal liability. Advise and management of litigation matters and support legal proceedings and court cases/hearings by representing and coordinating on behalf of the Company provided the General Counsel has been informed of such cases and subject always to the provisions within the Company’s parent company’s approved Delegation of Authority. Where the risk department works on developing the risk management framework, General Counsel will assist the risk department in such development of the risk management framework to ensure proper and appropriate measures are put into place to protect the Company from legal risks. Review and assist in negotiation of agreements with third parties. Oversee the appointment of external legal firms when required and manage the professional relations with external law firms, including up-to-date engagement letters, fee information and that conflicts checks are performed by law firm appointed. Review law firm invoices and ensure payments are made according to these invoices. Assist in the review of financial documents related to loans taken by the Company. Develop legal department strategy in line with the Company’s overall strategy and objectives. Oversee company secretary activities of organizing Board and Annual General Meetings and collate information to report to Board and management team.

The job holder is required to foresee and meet current and potential challenges presented by rapid operational and staff growth in creating and implementing effective human resources strategy.

Key decisions having significant impact on the directorate are referred to the CEO for approval before implementation.

The job holder exercises financial authority as per the level established by Marafeq Qatar management and stipulated in the authority matrix.

MINIMUM QUALIFICATIONS: Bachelor’s degree in Law from a reputable university Proof of practicing certificate Master’s degree is preferred but not necessary Minimum Experience: 15 years of experience in a similar role, with at least 5 years in managerial roles

Job-Specific Skills (Generic / Technical): Proficiency in English, Arabic is preferred but not necessary; Strong understanding of the Company’s industry Strong understanding in legal regulatory and corporate governance matters complemented with substantial commercial exposure and broad knowledge of the Company’s business operations Sound knowledge of drafting of agreements in relation to corporate area Excellent communication skills (verbal and written) Sound critical thinking and problem-solving skills Great interpersonal skills and adept to build strong relations Outstanding leadership and interpersonal skills High on integrity and conscientious
