Director of High-Value Transaction Structuring

Overview

High‑Value Deal Structuring

• Design and lead the structuring of **high‑value, cross‑border, and multi‑product transactions**, including M&A, IPOs, private placements, bond issuances, project‑finance vehicles, and privatizations.
• Develop **custom structures** (equity, debt, hybrid, JVs, SPVs, and special‑purpose entities) that balance return, risk, governance, and tax efficiency.
• Work closely with legal, tax, regulatory, and internal‑risk teams to ensure structures are bankable and compliant.

Financial & Risk Analysis

• Lead or co‑lead the **pricing, leverage, and capital‑structure modeling** for each transaction, including LBO‑style and project‑level analyses.
• Evaluate **financing options, cash‑flow dynamics, and downside scenarios** to support senior‑management and Board‑level decisions.
• Ensure structures are resilient under stress cases and aligned with the organization’s overall risk‑appetite framework.

Client & Stakeholder Engagement

• Serve as the **lead technical advisor** for senior clients (C‑suite, board, government entities, and SWF‑linked owners) on complex transaction structures.
• Present structure options, trade‑offs, and key risks in clear, actionable terms to executive and board‑level audiences.
• Coordinate with external partners (banks, arrangers, bond‑issuance platforms, and law firms) to execute structured solutions.

Execution & Governance Leadership

• Oversee the **end‑to‑end execution** of assigned structures, from mandate and term‑sheet through to closing and post‑closing governance.
• Ensure all **conditions‑precedent, covenants, and reporting frameworks** are embedded in structures and enforceable.
• Mentor and guide junior structuring specialists, bankers, and transaction‑advisory professionals on complex‑transaction design.

Methodology & Market Positioning

• Develop and maintain **standardized structuring templates, playbooks, and checklists** for common high‑value‑transaction types.
• Monitor global and regional trends in **capital‑markets, M&A, and project‑finance structuring**, adapting the firm’s or group’s playbook accordingly.
• Represent the organization at industry events and forums as a **thought‑leader in high‑value transaction engineering**.

Education

• Bachelor’s degree in **Finance, Economics, Accounting, Business, or Engineering**; **MBA, CFA, or CA/CPA strongly preferred**.

Professional Background

• 12–18+ years of experience in **investment banking, structured finance, project finance, treasury, or transaction advisory**, with a proven track record in **high‑value, complex transactions**.
• Direct experience in **structuring large‑ticket M&A, privatizations, project‑finance vehicles, or bond/credit‑structure transactions** in the **GCC/Middle East region** is highly advantageous.
• Prior **Director‑level or senior‑manager‑level** experience in structuring or transaction advisory.

Skills & Competencies

• Deep expertise in **financial modeling, valuation, LBO/project‑level structuring, and capital‑market mechanics**.
• Strong understanding of **legal, tax, and regulatory implications** of complex structures across jurisdictions.
• Excellent **communication, negotiation, and presentation skills**, suitable for Board‑level and C‑suite interaction.
• Comfortable managing **multiple high‑pressure, high‑visibility deals** simultaneously.
• Pay: QAR200.00 - QAR280.00 per hour
