Our business presence covers multiple jurisdictions with offices in the UAE, KSA, UK & Ireland, Singapore, Porto, Pakistan, Qatar and now in South Africa. We provide Regulatory Governance, Risk, Compliance, Finance, Recruitment and Technology services (the Services ) to a large number of clients including global, regional and local financial services institutions, governments and other industry partners. As part of our global expansion plan, we are now looking for an ambitious and agile professional with a strong background in Company Secretarial services to join our team. MISSION / PURPOSE OF THE ROLE You will lead and oversee the delivery of high-quality statutory compliance, corporate governance advisory, board support, and regulatory documentation for J. Awan & Partners clients. The role is responsible for managing a portfolio of complex entities across multiple UAE jurisdictions, acting as a trusted governance advisor to Boards and senior management, and ensuring best-in-class corporate secretarial standards. This role provides deep exposure to UAE corporate governance frameworks and requires strong leadership, technical expertise, and stakeholder management to strengthen governance standards, ensure regulatory compliance, and drive operational excellence across the CoSec portfolio. 12 18 MONTH MISSION OUTCOMES ( WHAT SUCCESS LOOKS LIKE ) Mission / Outcome Ensure robust corporate governance and statutory compliance across the client portfolio. Success Metrics / Measures 100% compliance with filing deadlines and statutory requirements. Zero regulatory penalties, delays, or rejected submissions. Mission / Outcome Deliver high-quality Board and Committee advisory and support. Success Metrics / Measures Board packs, minutes, and resolutions delivered accurately and on time. Strong satisfaction scores from Boards and senior clients. Mission / Outcome Maintain strong regulatory and stakeholder relationships. Success Metrics / Measures Positive stakeholder (clients/regulators) feedback. Timely and professional interactions with regulators and partners. Mission / Outcome Produce accurate secretarial documentation and maintain statutory records. Success Metrics / Measures 100% error-free documentation. Registers, resolutions, and statutory records updated and maintained accurately. Mission / Outcome Lead delivery excellence and internal collaboration. Success Metrics / Measures All deliverables met on time. Strong peer, leadership, and client feedback. Systems updated consistently. KEY ACCOUNTABILITIES Accountability Area Corporate Governance & Compliance Key Responsibilities Ensure submission of annual compliance tasks, including license renewals, confirmation statements, accounts filing, and data protection renewals. Manage ad hoc submissions with regulators such as amendments (directors, shareholders, capital changes). Act as the primary liaison for clients, providing guidance on corporate governance and regulatory obligations (ADGM, DIFC, DWTC etc.). Ensure compliance with statutory requirements under UAE laws. Success Indicators 100% compliance with filing deadlines and statutory requirements. Zero regulatory penalties or delays. Accountability Area Board and Committee Support Key Responsibilities Organize, schedule and attend Board meetings, Annual General Meetings (AGMs) and committee meetings for and on behalf of clients. Review and approve Board notices, agendas, minutes and resolutions. Advise the Board on fiduciary responsibilities, governance practices and legislative changes impacting the organization. Success Indicators Board packs, minutes, and resolutions delivered accurately and on time. >90% satisfaction from Board and Clients. Accountability Area Regulatory and Stakeholder Management Key Responsibilities Act as senior point of contact with regulators, free zone authorities, auditors and legal advisors. Liaise with external auditors, legal advisors, and stakeholders to facilitate compliance and effective communication. Represent the company in corporate governance forums and industry bodies as required. Success Indicators Positive stakeholder feedback. Timely and professional interactions with regulators. Accountability Area Secretarial Documentation Key Responsibilities Accurate and timely drafting of resolutions, registers, and other corporate documents. Maintain statutory registers, records, and corporate documents securely and accurately. Success Indicators 100% error-free documentation. Accountability Area Internal Collaboration and Self-Management Key Responsibilities Coordinate with internal teams (risk, compliance, accounts, and incorporations) for client deliverables. Prepare and share status trackers and ensure internal systems (JIRA / Salesforce / SharePoint) are updated regularly. Success Indicators Strong peer and leadership feedback. Systems updated regularly.
