About This Role
Overview
We are seeking a highly organized and execution-oriented SPAC Project Manager to lead and coordinate the end-to-end execution process of a Oil & Gas Special Purpose Acquisition Company (SPAC), from pre-IPO readiness through IPO execution and ultimately business combination (de-SPAC).
The ideal candidate will act as the central coordination point between all transaction stakeholders, ensuring timelines are maintained, deliverables are completed, counterparties remain aligned, and the transaction progresses efficiently through each phase of the SPAC lifecycle.
The role requires strong capital markets understanding, exceptional project management skills, and the ability to operate under pressure across multiple jurisdictions, advisors, and workstreams.
Transaction & Execution Management
- Coordinate the full SPAC execution process from IPO preparation through de-SPAC completion.
- Manage transaction timelines, milestones, action trackers, and deliverable schedules.
- Drive accountability across all counterparties and advisors to ensure deadlines are met.
- Monitor critical path items and proactively resolve execution bottlenecks.
- Organize and lead transaction status calls, prepare agendas, minutes, and follow-up actions.
Coordination of Advisors & Counterparties
- Serve as the primary coordination point among:
- Legal counsel
- Auditors
- Underwriters
- SEC counsel
- Financial advisors
- PIPE investors
- Target companies
- Sponsor entities
- IR/PR firms
- Transfer agents and other service providers
- Ensure efficient communication flow across all stakeholders.
IPO & Regulatory Process
- Support management of the IPO process, including:
- SEC comment coordination
- S-1 amendment tracking
- FINRA and exchange-related workstreams
- Due diligence coordination
- Data room management
- Corporate governance documentation
- Coordinate preparation and collection of transaction documentation and disclosures.
Investor & Marketing Materials
- Coordinate and manage investor-facing materials, including:
- Investor presentations
- PIPE presentations
- Roadshow materials
- Financial and strategic summaries
- Management Q&A documents
- Work closely with management and advisors to ensure materials are accurate, institutional-grade, and transaction-ready.
De-SPAC Execution
- Coordinate the business combination process from LOI through closing.
- Assist in managing:
- Due diligence workstreams
- Financial statement readiness
- Investor communication
- PIPE processes
- Regulatory filings
- Proxy/registration statement process
- Closing mechanics and timelines
Required Experience
- 3–10+ years of experience in:
- Investment banking
- Capital markets
- SPACs
- IPO execution
- Corporate finance
- Oil & Gas experience
- Management consulting with transaction exposure
- Prior exposure to SPAC, IPO, M&A, PIPE, or public market transactions strongly preferred.
Skills
- Strong project management and coordination abilities.
- Ability to manage multiple high-pressure workstreams simultaneously.
- Strong understanding of transaction processes and capital markets.
- Excellent communication and stakeholder management skills.
- High attention to detail and ability to drive execution independently.
- Advanced PowerPoint and investor presentation management skills.
- Comfortable interacting with senior executives, investors, lawyers, bankers, and auditors.

- Candidates with experience at firms such as:
- Investment banks
- Big 4 transaction advisory teams
- SPAC sponsors
- Capital markets advisory firms
- Public company transaction teams
- will be viewed favorably.
- The successful candidate becomes the operational backbone of the SPAC platform — ensuring execution discipline, maintaining transaction momentum, coordinating all counterparties effectively, and driving the process from IPO readiness to successful de-SPAC completion.
