Overview

A well-established company in Saudi Arabia is seeking an experienced Legal Manager to join its Board Affairs & Legal function.

This is a senior, wide-ranging role covering corporate legal matters, governance, compliance, and board administration.

The successful candidate will serve as the primary legal voice advising executive management and the board.

The role

You will take ownership across three key areas:

Legal

  • Draft, review and negotiate contracts, ensuring regulatory compliance
  • Conduct legal research, prepare memoranda, briefs and case documents
  • Manage litigation, attend court proceedings and maintain case files
  • Handle breach of contract reports and advise on remedial action
  • Support M&A activity and major projects with strategic legal input

Corporate Governance

  • Develop and maintain corporate governance policies and procedures
  • Oversee the Code of Conduct, Anti-Fraud and Whistleblower frameworks
  • Lead compliance investigations in response to alleged violations
  • Deliver employee awareness and training on regulatory obligations
  • Provide quarterly governance updates to department heads and management

Board Affairs

  • Prepare agendas, supporting materials and minutes for board meetings
  • Plan and conduct the annual general assembly in line with regulatory requirements
  • Manage the board disclosure register in accordance with CMA and Companies Law
  • Coordinate between board members and ensure timely distribution of information
  • Support the board in setting and monitoring annual KPIs

Skills

  • About you
  • Law degree required; professional certification from a recognised body is advantageous
  • 6+ years of experience in a legal or governance role
  • Proven ability to research and analyse complex regulatory and business issues
  • Strong negotiation, leadership and stakeholder management skills
  • Organised and effective under pressure, with the ability to manage competing deadlines
  • STRONG English skills ( spoken / written) is essential
