About the Role
The Legal Counsel will work alongside our established partner law firms and internal leadership to refine, scale, and operationalize the legal and financial structures that underpin vessel tokenization, investor participation, and cross-border operations.
Our foundational frameworks — covering SPV structuring, tokenization, and cross-border transactions — are already in place and operational.
This role is about enhancing these structures into a fully scalable, repeatable, and institutionally robust framework that can support the platform's next phase of growth across vessels, jurisdictions, and investor segments.
You will serve as the in-house legal anchor, partnering with our external counsel network, founders, finance, product, and technology teams to drive consistency, efficiency, and regulatory alignment across every transaction.
Key Responsibilities
- Partner with our existing external law firms to enhance, standardize, and scale the legal and financial frameworks already in place for vessel tokenization and SPV structuring
- Drive consistency and repeatability across transactions, evolving bespoke deal structures into a scalable, templated framework
- Lead in-house execution of vessel tokenization transactions, including SPV onboarding, asset documentation, and investor agreements
- Advise on digital asset and securities regulations applicable to tokenized real-world assets across key jurisdictions
- Manage relationships with external counsel, ensuring quality, efficiency, and commercial alignment
- Ensure compliance with AML/KYC, sanctions, and FATF requirements for cross-border investor participation
- Collaborate with the technology team on smart contract legal review and on-chain enforceability of contractual terms
- Oversee data privacy, corporate governance, employment law, and regulatory filings
- Liaise with regulators, flag state authorities, and registries as required
Core Expertise (Mandatory)
- Maritime asset financing (vessels, mortgages, charter structures)
- Cross-border SPV structuring (offshore jurisdictions — SVG, Gift City (IFSCA), BVI, Cayman, Marshall Islands, ADGM, DIFC, etc.)
- Capital markets / structured finance / asset-backed transactions
- Strong track record in transaction execution and deal structuring
- Qualified lawyer with admission to practice in a recognized jurisdiction
Strong Plus
- Exposure to digital asset and virtual asset regulations (VARA, ADGM, DIFC, MiCA, or comparable frameworks)
- Experience with tokenization of real-world assets (RWA) and securities law implications
- Familiarity with smart contracts and blockchain-based transaction infrastructure
- Knowledge of maritime regulatory frameworks (IMO, flag state, ship registry requirements)
Experience
Minimum 10 years' post-qualification experience spanning maritime law / shipping finance, structured finance / capital markets, and cross-border SPV structuring.
Prior in-house experience at a maritime finance institution, fund, or fintech platform is preferred.
