As we continue to grow, we're looking for an experienced Commercial Legal Counsel to support our commercial operations by drafting, negotiating, and advising on complex technology and enterprise agreements.

Role Overview

The Commercial Legal Counsel will be responsible for providing practical, business-oriented legal support across commercial transactions, procurement, strategic partnerships, SaaS licensing, AI products, and enterprise sales.

This role works closely with Sales, Partnerships, Product, Procurement, Finance, and Leadership to accelerate deals while protecting the company's legal and commercial interests.

Responsibilities

  • **Commercial Contracts**
  • Draft, review, and negotiate commercial agreements including:
  • SaaS Agreements

• Master Service Agreements (MSAs)

  • Statements of Work (SOWs)

• Professional Services Agreements

  • NDAs

• Data Processing Agreements (DPAs)

  • Reseller and Channel Partner Agreements
  • Procurement and Vendor Agreements

Enterprise Sales Support

  • Partner with Sales during contract negotiations.
  • Identify legal and commercial risks while enabling revenue growth.
  • Review customer redlines and negotiate acceptable positions.
  • Support government and enterprise procurement processes.

Ai & Technology

  • Advise on legal matters involving:
  • Artificial Intelligence
  • Machine Learning products
  • Voice AI
  • Data licensing
  • Intellectual Property
  • Software licensing
  • Cloud services

Compliance & Risk

  • Ensure contracts comply with applicable laws and internal policies.
  • Advise on privacy and data protection matters.
  • Support implementation of contract governance processes.
  • Maintain contract templates and legal playbooks.

Cross-Functional Collaboration

Work closely with:

○ Commercial teams

○ Procurement

○ Product

○ Finance

○ Security

○ Executive Leadership

Provide timely legal guidance to enable efficient deal execution.

Experience

  • 2–4 years of commercial legal experience.
  • Qualified lawyer in a recognized jurisdiction.
  • Experience supporting technology, SaaS, software, cloud, or AI companies.
  • Experience negotiating high-value enterprise contracts.
  • Experience working with government or regulated industries is highly desirable.

Technical Knowledge

  • Strong understanding of:
  • SaaS contracting
  • Software licensing
  • Intellectual Property
  • Data Privacy
  • AI regulations
  • Commercial law
  • Procurement processes
  • Contract risk management
  • Experience with cloud technologies and AI products is a strong advantage.

  • Data and analytics companies
  • Experience across the GCC or MENA region is highly desirable.
  • Nice to Have
  • Experience with UAE commercial law.
  • Knowledge of GCC procurement frameworks.
  • Experience negotiating government contracts.
  • Familiarity with AI governance frameworks and emerging AI regulations.
  • Experience supporting international commercial transactions.
