Compliance Manager (UAEN)

Overview

Regulatory Compliance & Oversight

• Lead the identification, interpretation, and implementation of applicable regulatory and compliance requirements across Modon Infrastructure
• Support the development and maintenance of a regulatory universe and obligation register at Modon Infrastructure’s level
• Ensure ongoing compliance at Modon Infrastructure’s level with all relevant UAE/ International regulatory frameworks, including but not limited to the Securities and Commodities Authority (where applicable) ADGM, Ministry of Economy and other relevant authorities
• Coordinate regulatory submissions, inspections, and audit engagements between Modon Infrastructure and the Modon Group compliance department

Governance Framework & Control Environment

• Support the design and implementation of a governance framework at Modon Infrastructure’s level in line with the Modon’s Group compliance framework.
• Establish and implement compliance policies and procedures at Modon Infrastructure‘s level, ensuring alignment with regulatory requirements and Modon Group requirements
• Establish at Modon Infrastructure’s level and maintain clear governance structures, including defined roles, responsibilities, and reporting lines
• Ensure at Modon Infrastructure’s level effective operation of committees, escalation protocols, and decision-making frameworks

Compliance Risk Management

• Implement at Modon Infrastructure’s level AML/CFT, sanctions, and due diligence processes in accordance with the Modon’s Group compliance framework
• Develop and maintain at Modon Infrastructure’s level a risk register, including risk identification, assessment, and mitigation strategies
• Conduct periodic risk assessments for Modon Infrastructure’s management and board reporting
• Ensure risks are clearly owned, monitored, and escalated appropriately
• Align compliance risk management with broader enterprise risk frameworks

Market Conduct, Ethics & Conflicts Management

• Establish and manage at Modon Infrastructure’s frameworks for conflicts of interest, insider trading, and ethical conduct
• Maintain and oversee at Modon Infrastructure’s level relevant registers (COI, gifts & entertainment, insider lists)
• Support investigations, whistleblower cases, and disciplinary actions
• Ensure alignment with governance expectations for listed or quasi-listed environments.

Qualification(s)

• Bachelor's degree in law, Finance, Risk, or related discipline
• Professional certifications (e.g., CAMS, ICA, CFE, GRCP) strongly preferred

Experience

• 6–10 years of experience in compliance, risk management, or regulatory roles
• Strong exposure to UAE regulatory environment and governance frameworks
• Experience in PPP projects, infrastructure, or government-linked entities is highly preferred
• Experience in M&A matters and corporate law is highly desirable.

Competencies

• Sound knowledge of UAE PPP regulations, financial procedures, FIDIC compliance and concession frameworks.
• Excellent knowledge of PPP risk management and controls.
