Overview
The **Chief Transactions Officer (CTO) – Strategic Deals** will lead the end‑to‑end strategy and execution of the organization’s key transactions, including M&A, strategic investments, divestitures, partnerships, and complex capital‑raising or restructuring initiatives.
You will act as the senior‑most transaction‑and‑deals executive, shaping the deal‑agenda, overseeing deal teams, and directly advising the CEO and Board on strategic‑deals value, risk, and execution.
Strategic Deal Strategy
- Define and lead the organization’s **transaction and M&A strategy**, aligned with long‑term growth, portfolio, and capital‑structure objectives.
- Identify and prioritize acquisition, disposal, joint‑venture, and partnership opportunities across the core and adjacent businesses.
- Develop and present **deal‑thematic theses** and investment‑case frameworks for Board and senior‑management review.
Deal Origination & Execution Leadership
- Lead or co‑lead major **M&A, IPO, private‑placement, divestiture, and restructuring mandates**, from initial idea screening through to closing and post‑deal integration.
- Oversee **due diligence**, valuation, structuring, negotiation, and documentation for buyer‑ and seller‑side mandates, including carve‑outs, privatizations, and spin‑offs.
- Coordinate with **legal, tax, compliance, risk, and ESG** teams to ensure transactions are structured robustly and in line with regulatory and governance standards.
Financial & Value‑Creation Oversight
- Ensure rigorous **financial modeling, scenario analysis, and synergy planning** supporting each transaction, including sensitivity and downside‑case analysis.
- Monitor and track **post‑deal performance and value realization**, adjusting integration or restructuring plans to maximize returns.
- Advise on **capital‑allocation priorities**, balance‑sheet‑level implications, and funding options for each deal.
Stakeholder & Board Engagement
- Serve as the primary transaction point of contact for the **CEO, Board, investors, and government‑linked stakeholders**, presenting deal strategies, risks, and financial outcomes.
- Represent the organization in negotiations with **strategic partners, private‑equity sponsors, and capital‑markets participants**.
- Build and maintain relationships with external advisors, law firms, and investment banks to support the transaction ecosystem.
Team & Functional Leadership
- Build and lead a **global or regional transaction function** (corporate development, M&A, transaction advisory, or in‑house M&A team), including hiring, mentoring, and performance management.
- Set standards for deal‑workflow, governance, and reporting across the transaction lifecycle.
- Ensure effective collaboration between **transactions, finance, strategy, operations, and legal** teams.
Market Positioning & Thought Leadership
- Position the organization as a **strategic‑deals‑oriented player** through thought leadership, deal‑thematic sessions, and industry‑forum participation.
- Monitor global and regional M&A, PE, and capital‑markets trends and adapt the organization’s deal strategy accordingly.
Education
- Bachelor’s degree in Finance, Economics, Business, Accounting, or a related quantitative field; **MBA, CFA, CA, or equivalent preferred**.
Professional Background
- 15–20+ years of experience in **investment banking, corporate development, M&A, private equity, or transaction advisory**.
- Proven track record as a **C‑suite‑level transactions leader** (e.g., CTO, CDO, Head of M&A / Corporate Development) with a strong history of **closed deals** and realized value.
- Experience in **GCC/Middle East transactions**, including government‑linked companies, sovereign‑wealth‑linked entities, and privatizations, is highly advantageous.
Skills & Competencies
- Advanced **financial modeling, valuation, and scenario‑analysis** skills; deep understanding of LBO, M&A, and capital‑markets mechanics.
- Strong **negotiation, stakeholder‑management, and presentation skills** suitable for Board and C‑suite audiences.
- Excellent **project and risk‑management capabilities**, with an ability to run complex, multi‑jurisdictional, and time‑sensitive mandates.
- Proficiency in **data analytics, deal‑management tools, and visualization platforms** where relevant.
- Pay: QAR350.00 - QAR450.00 per hour
